PARIE Terms of Service

Plain-English summary: If you sign up for PARIE, you agree to these terms. We'll provide the service as described; you'll use it lawfully and pay your subscription. Your data is yours. We can't be liable for indirect damages beyond what you've paid us. Either party can end the relationship with notice. For enterprise contracts, we'll sign your MSA — these terms are for self-serve plans.

1. Acceptance

By creating an account at parie.io or using the PARIE platform, you ("Customer") agree to be bound by these Terms of Service ("Terms"). If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization.

2. The Service

PARIE provides an AI-powered document navigation, training, and compliance platform delivered as software-as-a-service at parie.io. The exact features available depend on your subscription plan. Plan details are at parie.io/pricing.

3. Your Account

You must provide accurate registration information.
You are responsible for safeguarding your password and any activity under your account.
You must notify us promptly at hello@parie.io of any unauthorized use.
You must be at least 18 years old to create an account.

4. Acceptable Use

You agree not to:

Use PARIE to violate any law or third-party rights.
Attempt to reverse-engineer, decompile, or scrape the platform.
Upload malicious code, illegal content, or content you do not have rights to.
Resell or sub-license PARIE without written permission.
Use PARIE to train competing AI models on documents we process.
Exceed the rate limits or quotas of your plan in a way that degrades service for others.

5. Your Content and Data

You own your content. Documents, training materials, user records, and any data you upload remain your property. You grant PARIE a limited license to process this content solely to provide the service.

We do not use your customer data to train our models or any third-party AI models, and we do not sell or share it with marketers.

You can export your data at any time and request deletion within 30 days under our Privacy Policy.

6. Subscriptions and Payment

Free trials run for 14 days from account activation; no credit card required.
Paid subscriptions are billed monthly or annually in advance, depending on the plan.
Fees are non-refundable except as required by law.
We may change pricing with at least 30 days' notice; changes apply to the next renewal cycle.
Late payments accrue interest at the lesser of 1.5% per month or the maximum allowed by law.

7. Intellectual Property

PARIE, its logos, and the underlying platform technology (including the patent-pending ensemble reasoning method covered by USPTO provisional application #64/014,523) are owned by PARIE. These Terms grant you a limited, non-exclusive, non-transferable license to use the service during your subscription. No other rights are transferred.

8. Confidentiality

Each party will protect the other's confidential information using the same standard of care it uses for its own confidential information, but no less than reasonable care. Confidential information does not include information that is publicly known, independently developed, or rightfully received from a third party.

9. Termination

You can cancel your subscription at any time from the Workspace portal.
We may suspend or terminate your account for material breach with 14 days' written notice and an opportunity to cure.
On termination, you will retain access for 30 days to export your data; after that, data is permanently deleted (except where retention is required by law).

10. Disclaimers

The service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI-generated outputs are for informational purposes; you are responsible for verifying critical decisions. PARIE is not a substitute for legal, medical, or professional advice.

11. Limitation of Liability

To the maximum extent permitted by law, PARIE's total aggregate liability arising out of or relating to these Terms shall not exceed the amount you paid PARIE in the 12 months preceding the claim. PARIE shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.

12. Indemnification

You agree to indemnify and hold PARIE harmless from any third-party claims arising out of (a) your content, (b) your violation of these Terms, or (c) your violation of any law or third-party rights.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Disputes will first be attempted to be resolved through good-faith negotiation; if unresolved within 60 days, either party may submit the dispute to binding arbitration under JAMS rules in Wilmington, Delaware. Either party may seek injunctive relief in any court of competent jurisdiction for intellectual property infringement or breach of confidentiality.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced by email at least 30 days in advance. Continued use of the service after the effective date constitutes acceptance.
